NOTE 5 – SUBSEQUENT EVENTS
The Company evaluated subsequent events through the date these unaudited consolidated financial statements were issued for events or transactions
that occurred after March 31, 2026.
After March 31, 2026, Belisarian Holdings, LLC informed management that it had entered into a conversation with a party interested in purchasing its
interest in the Company. A share purchase agreement has been exchanged and is not, as of the upload of this disclosure, signed. At this time,

Disclosure Guidelines for the Pink Market (v5 December 18, 2023) Page 19 of 20 management is unable to speak to the likelihood of whether the ongoing conversation will result in a transaction, nor is management able to provide
an estimated timeline for such a transaction’s completion.
Belisarian Holdings, LLC has entered into an agreement with the Company to surrender its single share of Series 2026 Preferred B stock. The
Company’s transfer agent is currently working to reflect this agreement in the Company’s ledger.
