Bid Price. Each class of securities to be traded on OTCQB must have a minimum bid price of $0.05 per share as of the close of business on each of the 30 consecutive calendar days immediately preceding the Company’s admission to OTCQB. If a Company’s securities are traded on a Qualified Foreign Exchange and there has been no prior public market for the Company’s securities in the U.S., the Company may satisfy this requirement using pricing on the Qualified Foreign Exchange. If a Company’s securities are not traded on a Qualified Foreign Exchange and there has been no prior public market for the Company’s securities in the U.S., OTC Markets Group may admit the class of securities to OTCQB on a conditional basis if the Company can demonstrate to OTC Markets Group’s satisfaction that it will meet the minimum bid price. Any security admitted conditionally must meet the bid price requirement for 30 consecutive calendar days after admission
