Everything seems in order to me. A "no-comments letter" is just part of the administrative back-and-forth with the SEC. The Form 10 becoming effective is the material news, which the company properly announced via a press release. And their 8-K was required for amending the Articles of Incorporation (name change, authorized shares), which is a material corporate event.
