Because Rory and Geiskopf were looking for any way to get their change of control money. Both knew for a long time that VERB had no future.

So a harebrained scheme comes along and the two VERB clowns signed up right away. Due diligence to protect shareholders? PFFT. Shareholders have never mattered to them.
