Ai says SEC filing companies can submit quarterly late notices if they are unable to file their reports on time. They must file Form 12b-25, also known as Form NT, to notify the SEC of their delay 1.
If a company cannot file its Form 10-Q (quarterly report) on time without unreasonable effort or expense, it can submit Form NT 10-Q within one business
day of the original deadline. This grants an extension of five calendar days to file the report 1. However, if the company fails to meet the extended deadline, it will be considered delinquent from the original due date 1.
Companies must also disclose the reason for the delay and any anticipated significant changes in financial results 2.
Failure to provide complete information can lead to SEC enforcement actions and
