You are correct TJG, they are not required to file a 8k as they are not a SEC Registrant (filer)
However (as you are already familiar w/)
OTC Pink (especially Current Information tier) companies are expected to post updated disclosures for major corporate events like mergers, even though not via SEC forms.
State Corporate Law Filings:
The merger might trigger filings with the state of incorporation, such as a Certificate of Merger or similar documents.
FINRA Corporate Action Filings:
If the merger involves a name or symbol change, share exchange, or other action affecting shareholders, the company may need to file with FINRA for processing.
