The Company has evaluated subsequent events that occurred after December 31, 2024 through April 8,
2025, the issuance date of these financial statements. There is one subsequent event of material
importance: a second amendment regarding the ATC purchase was signed on March 17, 2025. According
to this amendment, GeoPulse will issue 100,000 shares of newly created Series B Convertible Preferred
Stock, with a face value of $1,000,000 to acquire the remaining 50% of Advanced Technology
Construction, LLC, with closing expected by May 1, 2025.
