It's unfortunate that you are unable to dissect and scrutinize the documents for yourself, or with the help of someone qualified. Relying on a posters opinion for your DD appears to be your downfall.
The company was not sold as a going concern. It's clearly recorded that none of the 3 entities that comprised the company were sold at all, factually the opposite.
