My background is development, banking and partnerships, so the "payout" under the stock structure is out of my wheelhouse.

I've been part of some VERY creative LLC partnerships and can tell you that when you see valuation claims at the level this one is representing against stock valuations that created the deal....I'd say, investor beware.

There's an old saying, if it sounds too good to true!
