Even a beginner should understand that votes, not shares, are the determining factor

how many shares are necessary to pass a corporate resolution??

Let's simplify this so that even you might be able to understand. For ex, an officer may hold a super voting preferred which grants the holder 51% voting power no matter what other securities are outstanding. In effect rendering outstanding shares moot.
