When George Sharp says he wants to retire, that means he cares about George Sharp. Not shareholders. He wants to merge a company regardless of the quality or how sketchy they might be, followed by exiting his own shares on the temporary pops in price. After that, he will be long gone and no longer associated with the company. He will have the excuse of saying "I'm no longer involved" once the company starts failing and scamming. And if he's retired, his reputation doesn't matter any more because he since he won't be doing this any more. It's basically like an exit scam. I've seen so many flavors of scams and red flags in my time with OTC and this is just one variation.
