"Finally, the last condition [item #5] is that the parent has held the shares for a minimum of one year. This is so the receiving shareholder may tack with the parent’s holding period and thereby satisfy the holding period requirements of Rule 144."

What shares are being referred to here? Cold it be shares that the company itself owns or does it have to be shares BDPT owns in a company called "Livestock" before the spinoff occurs?
