You can see why FERN and other OTC companies phrase it differently, as it clarifies things tremendously:

So I'm pretty sure he has to disclose them if he has them. And unless he made a mistake (always a possibility), the lack of common shares means that he no longer has them. Just like WNFT, which actually lists that he still owns 3M common shares, but that means he sold 1.5M common shares at some point. Yet people refuse to believe it, despite the documents being explicit.
If someone can't tell that a shell is a shell, can you trust anything else that they say?
