There is no "math." The S-1/A sets a price and quantity negotiated between the company and underwriter. The underwriter hands over the money, the company hands over the stock. That's simply the way it works.
I swear I’ll never use the phrase “you can’t make this stuff up” ever again after being on the OTC. Apparently you can.
