Show me where the SEC regulation says Reg A requires SEC approval.
The SEC doesn’t “approve” offerings.
They review them and comment…it is up to the company to ensure they are meeting the requirements of the Regulation.
If they don’t then the SEC comes after them.
The difference between Reg A+ and Ref CF, I think you are referring to, is that Reg CF requires a lot less disclosure than Reg A+
