From the last DEF 14: They introduced their stock incentive plan from 2014-2015: First Question: Up to 15,000,000 shares of common stock are reserved for issuance under our 2014-2015 Stock Incentive Plan (“the Plan”). --> Why isnt the RS not applicable on this incentive plan? If you have a look at the RS filling only the preffered shares are not part of the RS! So I think the incentive plan isnt legal.
Second Question: Directors Compensation - Our directors do not receive compensation for services rendered to us or for each meeting attended except for reimbursement of out-of-pocket expenses. We have no formal or informal arrangements or agreements to compensate our directors for services they provide as directors. When there is no arrangement is it legal to do it own your own without shareholder approval?
My conlusion is that this move from Allen and Knudson are very fishy and scamy. I am really pissed. They get together 2.5M options for what??? Dilution and toxic financing.
