Now I get what you meant by this statement: “The ONLY reason the restaurant opened was to show the Fed's he was an honest businessman”.

Tbh, I haven’t looked deeper than their financials since I don’t own any shares, but then last week’s news surfaced that the sub (CIGN) that SH’s paid $10M is cooked. so I became curious about these other subs that SH’s already paid a heavy price for.

I have some questions if you can help me out…

I came across a PR from 1/4/21 that details the acquisition of Health Care and Wellness Clinics of America, LLC and Corporation Clinic, LLC (this supposed to be INC, not LLC). Feldenkrais issued himself and a buddy ~660M shares for these two subs at a price tag of $1.25M.

Here’s some excerpts from the PR that stands out:

Health Care and Wellness Clinics of America is a franchise holding company that, together with its subsidiaries, operate three distinct business models within the CBD business world. www.hcwcoa.com

The first model involves medical clinics called Chai MD (pronounced "high") which provide a lifestyle medicine program that incorporates Cannabis to promote a better, longer, and healthier life. Lifestyle medicine involves the use of evidence-based lifestyle therapeutic approaches, to prevent, treat, and, oftentimes, reverse lifestyle-related, chronic diseases that are so prevalent today. Rather than just treating symptoms with ever-increasing quantities of medication and procedures, Chai MD applies a lifestyle medicine-first approach that focuses on identifying and eradicating the root causes of disease. Chai MD's unique methods combine lifestyle medicine, lifestyle learning, aesthetic services, alternative medicine, chiropractic care, medical marijuana patient services, and CBD products that strategically position its clients to look and feel their best. So, a “franchise holding company” — first of all — what franchising? Second, but most importantly — where is Chai MD operating with all the medicinal services they offer? Was there ever Chai MD here that went bust?

Quick search shows “Leaf Med Spa” at the address they have listed for Chai MD, and it’s registered as a fictitious name under Corporation Clinic, but no website.

According to state of Florida — CHAI MD is registered to HELATHCARE AND WELLNESS OF FLORIDA, LLC. Worth noting Leaf Med Spa, was filed after Chai MD. This is a very confusing shell game!

So, I’m asking where is Chai MD operating, where is the chiropractic center noted in the financials, and who is Leaf Med Spa?? Also, I don’t know if anyone noticed, but Corporation Clinic wasn’t even a thing between 2015-2019 and wasn’t until latter part of 2019 when they were reinstated with the state. I mean $1.25M was paid for these segments, that presumably according to that PR was operating!


Next: is where your comment makes sense to me now…

The second model is a bistro called Hip n Chai which provides an ambience and diet wherein the customers get a 90% plant-based whole food diet combined with the benefits of CBD and other cannabinoids. The goal is that the clients eat well, take 10,000 steps a day, or get 30 minutes of moderate exercise a day, and practice stress management techniques daily. www.hipnchai.com



Hip Wynwood was opened within a month or so of when Feldenkrais issued himself ~760M shares for these subs, and as you noted, he presumably had to show something for a ton of share issuance so it didn’t look like a total scheme. You can’t affectively open and close a seated restaurant in that period of time, it’s logistically impossible and there would be a paper trail, esp with a highly regulated food services industry. Has anyone tried looking for a license?

I know the restaurant existed, but was it under a permanent restaurant license or a temporary pop-up?

At a glance I couldn’t find anything at these Florida regulatory sites, but someone can double check as I didn’t have too much time, and you all know better than me all the various names of subs that it could fall under to register a restaurant under a public company. The first link is for a fictitious name, which would be a variation of Hip or Hip Wynwood.

Next is this:

HCWCOA owns a third business model called Get Medicated which is a lead generator in the Cannabis industry. This company by way of marketing, generates clients to both the clinics and the bistros at a cost per call scenario and acts as the mobile clinic division with ambulances that provide services relating to medical marijuana cards and product sales. www.getmedicated.com



They generate leads to what clinics and bistro’s (plural)? “mobile clinic division with ambulances” (what?) — “provide services relating to medical marijuana cards and product sales”. Lol, I have to ask — did any of this come to pass?

And, finally this:

Corporation Clinic was established in December 2014. The company operated one of the clinics and bistros prepared by Healthcare and Wellness Clinics of America in the Lauderhill Mall. It then became the wholesale and online distribution arm of the products under the brands Chai and Hip available at www.hip4all.com. Corporation Clinic and HCWCOA have worked closely together since the inception of HCWCOA.



I’m curious to know if anyone found the clinic and bistro in the Laudehill mall.

So, then they became the “wholesale and online distribution arm”? What special capabilities and distribution credentials did they bring to the table?

I mean at that price tag, they must have a in with some of the largest distributers in the nation to be worth $350,000, and by now their product should be in at bare minimum 500 retail stores across the country. And I’m talking bare minimum, as Svorai who was running a total scam got his product in with a major U.S. distributer that was servicing hundreds of grocery and convenient stores across the northeast, and managed to get products in a ton of Florida and Colorado stores. There was a time that pictures were being posted by SH’s who came across various products from all across the country, and he was running a scam ffs! This is what “Locksmith” means in his post where he noted they worked hard to make it look legit.

Could you tell me how many stores carry their product line, because I think I saw only a handful, but I could be wrong?
