The Selling Security Holder is offering a maximum of 400,000 shares of common stock on a best efforts basis at a price of $0.12 per share. There is no minimum aggregate offering amount or provision to escrow or return investor funds if any minimum number of shares is not sold, and we may sell significantly fewer shares of common stock than those offered hereby.

It's on a best effort basis meaning it can be higher or lower than .12
