All of the Reporting Persons are a "group" for purposes of Section 13(d) of the Exchange Act. 2176423 Ontario Ltd. also holds warrants to acquire 23,408,240 shares of Class A common stock, but the terms and conditions of the warrants preclude 2176423 Ontario Ltd. from exercising the warrant to the extent that such exercise would cause 2176423 Ontario Ltd.
