I'm going with SEC BOILERPLATE for a RUBE GOLDBERG explanation. It's just a private placement of a .295 unit. One share, One .35 warrant. Why didn't they just say so? For a loophole. To avoid regulation. Intentionally designed to do a simple task in an indirect and overly complicated way all to get around a regulation(s). That's my explanation. That makes sense to me. That's what I'm goign to go with as a motive. My missing motive.

So my problem is Spanky's problem as illustrated here. They don't speak right!

I'm more educated today than I was last week. I overreacted. It's the CRIMINAL UNDERGROUND nature of the whole OTC. I'll feel better on Nasdaq. I hope we get approved.

All that in, and out, with no tax deduction allowed for my over-thinking this, raises my cost average to .19 per share. Nothing sinister confirmed. My motive is found to my satisfaction: Loophole to get around a regulation(s).
