Not sure where you are getting that the "merger" is not happening, unless you are referring to that fraudulent email that supposedly came from "Mike" at OPTI "IR". Like I said previously, I don't believe ONE WORD of that, as the deal was sealed and the REAL Opti IR guy knows better than to publish something like that.

Here's what the PR (NOT some fraudulent email) said:

OPTEC confirmed the company has executed a settlement agreement with We Shield that provides a debt free scenario between the entities enabling OPTEC to utilize the NYC med-based sales and marketing company We Shield within the company’s PPE division. (emphasis added)

You are aware, I'm sure, that there IS a merger style where both companies "survive" the merger, especially when the two companies are in the same or similar industries. There are actually THREE possibilities after a merger:

1. One Company Will No Longer Exist (it merges into the surviving company)
2. Neither Company Survives (a BRAND NEW company is formed) OR
3. Both Brands Live On

I'm not going to discuss the first two scenarios, because I do not believe either one of those is in play here AT THE PRESENT TIME, but who knows what the future holds--it is possible, even likely, that a brand new company will emerge.

In the "both brands live on" scenario, the two entities marry corporate functions while maintaining separate brand names. Furthermore, each name may continue to perform some administrative, marketing and HR functions on their own. This scenario focuses on long-term integration that preserves the best of both brands.

I believe that one day in the very near future, we are going to see OPTI and We/Shield merge into ONE company (JMHO). What OPTI and WeShield did last week, and which is the subject of the PR, is SETTLE THE LAWSUIT (they HAD to; WeShield's ANSWER was due) giving them TIME to set the groundwork for future negotiations. Yes, the PR was vague, I actually agree with you on that. But I believe it is vague for a reason: THEY HAVEN'T AGREED ON THE FINAL TERMS OF THE ACQUISITION YET. Finally, what the PR does NOT say is that the acquisition is off the table. What it DOES say is that WeShield is PART OF OPTI'S PPE DIVISION. I do BELIEVE we are only at the tip of the iceberg as far as the BIG plans that OPTI and WeShield have.
