marketbear, according to the SEC, a company can do a recapitalization, or a "buy back" of its own shares, is when they have announced a merger by 8k. The buy-in extends up to the time the merger is consumated. Rule 10b.
As for selling by insiders, the 144 must be filed with the SEC prior to selling the shares.
