I wasn’t even taking into consideration that Feldenkrais was going to use the proceeds for his personal benefit, since both scenarios are totally shady, except one is worse and entirely illegal.

He wanted Adar to sell shares, and give him and/or the pubco most of the proceeds, or otherwise he wasn’t giving Adar the shares. That’s pretty much cut and dry. That’s at best unethical and worse, illegal!

Again, to turn a 155M toxic conversion, as bad as it is, to potentially a couple of billion shares (likely more) should be raining red flags all over investors as to his intentions, and utter lack of value for his shareholders, since the subsequent death spiral would’ve undoubtedly decimated any value and resulted in substantially lower prices than we see today.
