Escrow is a legal arrangement in which a third party temporarily holds large sums money or property until a particular condition has been met (e.g., the fulfillment of a purchase agreement)

Yes, someone else is holding the money until everything is FINALIZED..

So they can't distribute the money to shareholders because they don't have the cash actually in hand, a THIRD PARTY is holding the money..
