Merger Announced today with Associated Food Concepts or AFCI via purchase of 380,000,000 shares from Algonquin Partners the majority shareholder of JADA (and owned by Marianne Uveges) via Special Purchase Agreement or SPA; Marianne Uveges of Jade Art resigned as CEO and Wayne Sellers of AFCI was appointed new CEO of JADA.

W. Wayne Sellers is CEO of Associated Food Concepts, Inc., a privately owned company based in
Birmingham, AL (“AFCI”). AFCI is an acquisition and management company, emphasizing niche’ and
specialty food products.
