Absolutely. The officers and directors have breached their fiduciary obligations to the corporation and its shareholders. Unlike the custodianship litigation, the BoFD is fairly easy case. You think the officers of the corporation have consistently fulfilled their fiduciary duties to the corporation for the last 18 months or so?
