Matrix of Life...

On March 2, 2020, following the Holding Company Merger, Boon purchased all of the assets, and assumed all of the liabilities of Matrix of Life Tech Trust, an Oregon Trust (“Matrix” or the “Trust”), pursuant to an Asset Purchase Agreement dated February 10, 2020 (the “Matrix Acquisition”). Prior to the Matrix Acquisition, Matrix produced beverages and food products at a facility leased by it in Grants Pass, Oregon. As a result of the Matrix Acquisition, the Company’s business became the business previously conducted by Matrix. Following the Matrix Acquisition, the Company has expanded Matrix’s business of manufacturing customized “white label” products for the food and beverage, health and wellness and chemical industries. The Company sells its products both wholesale to outside specialized distributors, as well as directly to its own customer base. The Company currently continues to have its products produced at a facility that it leases in Grants Pass, Oregon.

LOFB benefits from this Purchase Agreement with Matrix through acquiring equipment for water treatment and emulsions as well as picking up long standing customers of Matrix to provide them with formulas and products from LOFB. The IP and assets are valued at $1,000,000. As consideration for the IP, fixed assets and the “Know - How”, the Buyer shall issue, or cause to be issued, 30,000,000 restricted common stock at a price of $.0166, and Preferred Series A Stock (PAR $0.0001)...The number of shares to be issued is 50,000 shares of the Preferred Series A stock at a price of $10.00 per share and convertible pursuant the conversion rights as specified in the Articles of Incorporation for LOFB.

The Company operates a similar chemical production facility in Tumbaco, Ecuador in conjunction with LogiChem S.A.

Along with its propriety formulas and technologies, the Company has developed its own unique bottle-cleaning system that is in operation in both Oregon and Ecuador.

Matrix Acquisition, of Control/ Asset Purchase:....on March 2, 2020, the Company completed the Matrix Acquisition. As consideration for the acquired assets, the Company issued Justin Gonzalez, the Trustee and sole beneficiary of the Trust, 30,000,000 shares of common stock, 50,000 shares of Series A Preferred stock and 1,000 shares of Series B Preferred stock.

I contacted the Company asking for some more examples of products Matrix of Life produced/produces.
I asked for the names of the distributors that Matrix of Life wholesales to.
I asked for more information on the production facility in Oregon.
No response.

LogiChem S.A. does seem to be a real company in Ecuador with 4 employees. The water they sell is called Iridium Blue.
There is also a Trademark statement on the website that reads:

The Iridium Blue ™ process is the property of the Matrix Of Life Tech ™ trademark of Oregon, USA.

Whatever type of deal Matrix of Life had or has with LogiChem, it has never translated into a profitable business.

Matrix of Life reported Sales & Net Losses were:
2017-$76,212 & ($10,083)
2018-$85,652 & ($796)
2019-$81,456 & ($10,664)

They ended 2019 before the acquisition with only $2,439 cash and $398,631 in Liabilities.

I looked into Matrix of Life further.

Matrix of Life Technologies, LLC was originally filed in California in 2009 and was cancelled in 2012.
Among it’s listed members were:
Donald P. Notter - Manager
Justin Gonzalez - CEO
Doris Notter - Member

Matrix of Life Tech, LLC was filed in Oregon in 2014 and is currently active.
Among it’s listed members:
Donald Paul Notter - Agent / Manager 2014-2019, 2021
Justin Gonzalez - Agent / Manager 2019-2020

Interestingly, The Agent/Manager title was transferred from Notter to Gonzalez right before the acquisition by Boon/LOFB and then changed back to Notter last month.

The address and primary place of business is a residence in Grants Pass, OR.

Donald Paul Notter has filed at least 20 LLC’s in Oregon, Nevada, and Texas since the 1990’s. Some registered at the same address as Matrix of Life.

Donald Paul Notter is a Federal criminal. Convicted and sentenced to a year in prison and ordered to pay restitution of over $2.6 million.
