Millions in giveaways disguised as "consulting fees"?

On October 15, 2020, the Company entered into an IP Purchase and License Agreement with Maguire & Associates, LLC (“Maguire”) in the amount of $5,000,000. The Company issued 500,000 Preferred Series A shares at a price of $10.00 per share which are convertible pursuant the conversion rights as specified in the Articles of Incorporation and certificate of designation for the Company.

Maguire & Associates, LLC was filed with the California SoS on October 21st, 2020 using the same Agent as:
Yorkshire Capital (Scott Sand)
Optempus Investments (Scott Sand)
C Group (Scott Sand)
Lave Systems (Jef Lewis)
Direct Capital (Jon Fullenkamp)

The CEO is Brian Maguire
The address is in Solana Beach, CA

Looks like Brewbilt is using $5 million worth of shareholder funds to pay a personal trainer/massage therapist in convertible Preferred A shares for a ‘IP Purchase and License Agreement’, listed on the 10-K as ‘consulting fees’.

This is almost identical to the $4 million Scott Sand controlled Optempus deal through Bgreen Partners that Brewbilt paid in Preferred A shares and listed as a ‘consulting fee’ on the 10-K.

Brian Maguire is also CEO of Premier Restaurant Consultants, Inc.
The same address in Solana Beach is listed.
The other listed member is Steven A. Lawson who lists a residential address in Jamul, CA.

Steven Lawson, using the same address in Jamul, CA, shows up again as CEO of Evo Enterprises.
The listed Secretary/CFO of Evo is Michael Skeen Mulder.

Mulder is the President of Brand House Ventures. Simlatus ran BS PR pumps claiming $75 million deals with Brand House.

A search of Steven Lawson shows that his wife and the wife of Jon Fullenkamp have shared three different addresses in California since the late 1980's.
What an amazing coincidence that Fullenkamp's name would pop up. He's been involved, along with Scott Sand, in the VTNL/BBRW/SIML share selling scam since the beginning.
