They should have disclosed the actual SPA and Registration Rights Agreement...they may have left some important details out. If the SEC pulls this 8K to review they will be asked to do so.

Otherwise it looks like they are hiding something. First Fire is a toxic penny financier that Dennis has used before. They don’t agree to fixed price conversions without some trap door that can make the note go floorless.
