Yes, that $192 million award is in favor of GDSI so that GDSI is not responsible for an additional $192 million n taxes plus interest. THIS IS NOT $192 million for Bilky to invest or capitalize GDSI, rather is it an award for Bilky to take that $192 million off of the SPA and rather than pay the Bolzans, Bilky gets to deduct this amount and pay those itemized amounts listed by the court on behalf of the Bolzans and GDSI, paying these $192 million directly to those taxing authorities.
So please stand corrected thinking that GDSI somehow just received a $192 million infusion of cash that could somehow be divided and distributed to shareholders.
Those are taxes that GDSI under Bilky’s control, will pay and DEDUCT from the original SPA.
It’s pretty clear for anyone to read in the judgement, contrary to what some have said.
The celebration should be the relief that GDSI under Bilky’s control, doesn’t not have to pay an additional $192 million in acquisition costs. The Bolzans are essentially paying this as this money is being directly subtracted from compensation owed in the SPA. The Bolzans do not have $192 million, nor does Bilky for that matter. This money will have to be paid from operating profits. If Bilky is as successful with Rontan as he was with NACSV, then the chances are very slim this will ever be paid... NACSV under Bilky’s ownership never made a dollar. It lost so much money, Bilky shut it down about a year and a half after he acquired it, per GDSI’s own public SEC filings.
Remember my simplified example of a business purchase ? Instead of paying the seller his $100, the buyer paid $40 of taxes previously owed by the seller directly to the taxing authority on behalf of the seller (and the company) and then proceeded to pay the seller the $60 balance that is remaining due to the seller.
Pretty simple for ALMOST ANYONE to understand
However, we both know that Bilky isn’t going to pay the Bolzans not a single dime.
That will be the subject of the next litigation...
