You should really listen to Wing more LK. While it's common knowledge that Diet Dr. Teper is co-founder, Chairman of the Board, and Chief Executive Officer of Vector Therapeutics, what may not be well known is others being able to make a move here. Section 5... and 10 for that matter are good to know as well. Specifically a change in control - Payment on Change in Control Termination as regards Tep.

In the event of a Change in Control Termination during the Term, the Company shall pay or cause its successor to pay to Executive quite literally everything owed to him (Stock, cash, etc.)

10.2. Change in Control Defined. A “Change in Control” shall be deemed to occur upon the earliest to occur after the date of this Agreement of any of the following events;

(b) The consummation of the sale or disposition by the Company of all or substantially all of the Company’s assets; or

(c) The consummation of a merger or consolidation of the Company with or into any other entity...

So Wing is 100% right! Tep may not be able to, but others certainly can.
