AAWCD UPDATE. Here is what I have been able to obtain from the sec website regarding the Form 10- 12(g) filed for the Canning Street Corporation.
Regarding Alexandria Advantage Waranty Corporation: effective 9/15/20 the company was merged into a subsidiary and was thereupon divested. The form does not specify into what subsidiary exactly, but regardless, it was divested. Since this is the case, it seems the likely reason shareholders were of given any reason for the reverse split was, in part, because no company existed any longer.
The CIK for the new company is 0001837774
The new company believes there are numerous firms seeking the benefits of a company already compliant with the 1934 securities act and the JOBS ACT with whom they can merge or otherwise form a joint venture of some kind.
The plan is to offer a controlling interest to an incoming partner who could then avoid time and cost required to create and IPO.
With regard to the 1940 Investment Company Act, section 3a-2 the SEC has not made a formal determination as to the present company's status. As thr company has no assets and no income of any kind since 9/15/20 the company does not believe it has violated any section of this Act.
Cutler is the current President, CFO and Secretary
Green is the current CEO and director.
The present company, due to its current legal form enjoys reduced reporting burdens as an emerging growth company. They plan to obtain debt and finance equities to. Cover the expenses of running the company and to create value for shareholders.
I have my own opinion about what all of this means to those who continue to hold shares as I do. I will offer that later after others have had a chance to look all of this over and to form their own theory.
As another poster here has said Cutler and Green, both are sharp guys. We may neither like nor understand what has happened here but giving time to let things play out may be smarter than selling right now for a substantial loss. I choose to continue to hang here awhile to see just what they have up their sleeves. This has turned into an unusual play to say the least.
