"Treasury benefited from the Net Worth Sweep as a stockholder—not as a seller of assets, El Paso Pipeline GP Co. v. Brinckerhoff, 152 A.3d 1248 (Del. 2016), or as an ordinary “thief,” Ken-nedy v. Venrock Associates, 348 F.3d 584, 591 (7th Cir. 2003). The fact that the Net Worth Sweep also harmed the Companies does not diminish the unique injury Plaintiffs sustained when they were removed from the Companies’ capital structures."
