I'm not so sure this one is a scam so much as the CEO unfortunately is just a moron when it comes to share structures and all of the implications on share structure for various maneuvers that are enacted for publicly traded companies. I'm being serious. I've met the CEO before. I was trying to tell him what an RS does for pps for OTC stocks and he blew me off thinking he knew better. He has the most on the line of any of us with regard to total holdings of commons. So he's screwing himself in the process here. Now maybe he's making sure he gets a nice fat paycheck when it comes to the preferreds, I really don't know about that - haven't looked at this one in about a year now. But what I do know is that the moves he was making wasn't the typical scammer CEO moves. I think the were just ignorant and completely naive/uninformed moves. But I still blame him 100% - he had too much hubris to listen when I was trying to warn him that he was going to ruin many investors and eff himself in the process. he was oblivious. probably still is, I don't know.
