That's not entirely correct...There is no doubt that the R/S would be punitive for current shareholders.

According to the amending formula of the DGF agreement the company is required to hold back 500% of shares for future disbursement...which means the A/S has to be increased to 2.5 billion shares.

Bruce has already written posts as have I that point out with a share price increase to .10 cents DGF would add only about an extra 100 million shares or so through the conversion....remember the original agreement with DGF was written when the share price was .23 cents.

So they could be gotten rid of...hopefully there would be positive activity within the company and at some point they could look at decreasing the A/S back down...

The fact remains and we told Ziv again today that the stock hovering around a penny shouldn't be a deterrent to new money investing.

The problem is the DGF deal and while Ziv is interested at getting rid of DGF on the backs of current investors which we vehemently disagree with we once again stated that increasing the A/S...getting the share price up.....getting rid of DGF as a result...new money..proper IR representation and promotion of the company....should all work.

He agrees that with the patent grant and the uniqueness of the creme we should be trading at a much higher valuation. DGF has dumped over 200 million shares up until March when the company went dark...

They brought action against the company as we all know and the court order must be put into force..Vote on the R/S and vote on increasing the A/S.

The R/S should only be done as a last resort after other things that have never been tried are done such as proper promotion.

It's in DGF's best interest to negotiate a new deal... Ziv acknowledges this and the last thing we said to him today is that he needs to realize he is not coming at this from a position of weakness and to stop being pushed around by John Kirkland and DGF.

If the company goes under...EVERYONE loses and right now DGF has only recouped less than 3 million back .... it's time to come to the table.
