What 13% premium? Seems your calculator is off

The actual market cap will be around $2.4 B if we consider all o/s shares and warrants. So a BO at $12 B is around 4.8 times current price - if NP accepts it - SH can do nothing about it. Most SH who matter in voting will say Yes to approx 5 bagger offer
