so why would the government claim conservatorship was necessary exactly ?

The government doesn't need to claim that conservatorship was necessary, only that it happened legally. They only need to claim that the boards of directors consented, fulfilling 12 USC 4617(a)(3)(I), which they did. All that quote shows is that none of the other conditions under 12 USC 4617(a)(3) were fulfilled.

Any claim that the boards were coerced would have to be proven in a court of law. This has not occurred yet, so it cannot be assumed at this point.
