As previously disclosed on June 11, 2019, the Company entered into a Securities Purchase Agreement (the “Securities Purchase Agreement”) with the purchasers identified therein (collectively, the “Purchasers”) providing for the issuance and sale to the Purchasers of an aggregate of up to 40,000 shares of our Series D Convertible Preferred Stock (the “Preferred Shares”) and related warrants for gross proceeds to the Company of $200,000. The Company completed payment of $260,000 to the Purchasers, or 130% of the amount paid for the Preferred Shares, as called under the Securities Purchase Agreement.
