Dude...I never wrote what you're suggesting I wrote. I never once stated the Seller (Rontan)had waiver rights. Just read the waiver statements as they exist and reference them word for word. Don't leave the word Seller out because it's key to understanding.

GDSI had the right to waive Seller's conditions only. GDSI never waived sellers conditions. It's that simple. They attempted to waive the role of KPMG and GCP as they relate to Conditions 1 and 2.

The verbosity is unnecessary. We interpret the SPA waiver clause differently. I believe the crux of this case is the Conditions Precedent not being met. You think they were met.

We will disagree on this topic until the Court rules on the MSJ.
