If you read some of it to, it basically describes a firm like GRN. Gets into the weeds after a bit as it is 50 pages of details but you can clearly see the exemption is build for private funds with few members that don't deal with the public and are not overly trading in equity securities and dealing more with development stage, emerging growth companies.
