"Its presence in the public marketplace" IS NOT an IPO. An IPO requires a prospectus and financial statements.

A non-reporting company" can trade on the pinks when the company has issued enough shares for services (in the case of LFWK @ $ .001 per share) to enough people who then decide to sell a few shares.
