Reporting Person. Dillon Hill Capital, LLC (the “Purchaser”), of which the Reporting Person is the sole member, directly owns $1,500,000 principal amount of secured convertible notes (the “Notes”) that are convertible into 2,777,777 shares of Common Stock of the Issuer. Until October 13, 2019, the Purchaser has the right to purchase up to an additional $500,000 principal amount of Notes. Such additional Notes would be convertible into an additional 925,925 shares of Common Stock of the Issuer.
