Excludes (i) 500,000,000 shares of Common Stock issuable upon exercise of the First Warrant issued in favor of ARJ which contains an ownership limitation such that the holder may not convert any of such securities to the extent that such conversion would result in the holder’s beneficial ownership being in excess of 9.99% of the Company’s issued and outstanding Common Stock together with all shares owned by the holder and its affiliates. Andrew Garnock is the Manager of ARJ and in such capacity has voting and dispositive power over the securities held by such entity.
