Tax implication may be the reason. I dont know if you have ever recieved ISO's but the tax law is that in the year that you exercise, you have to pay AMT tax on the diff between exercise price, whether you sell the stock or not. For tax purposes it would be better to exercise at the beginning of a year, get capital gain status by holding a year and then sell at least enough to pay the tax.
