No they can’t. Section 13 and 15(d) of the Securities Exchange Act of 1934.

A “closing” is the last step in an acquistion. It starts with a binding LOI or Purchase Sales Agreement, both of which are “material definitive agreements” discussed under Item 1.01 for current report Form 8K.

And the company has filed NOTHING.
