Incorrect. They are an SEC registrant and have filing obligations for material events. An agreement to merge or acquire a company is a material event and has to be filed within four days of signing. An LOI to do such an acquisition/merger is a material event if it is binding.

They have made no such disclosure so no such Agreement exists.

Understanding Securities Law can help avoid making incorrect assumptions.
