EXPERIENCE in clearing said type of shares (consulting) & those actually paid for as well. Now back in the 504D deal days prior to 144 rule we could sell those shares instantly (504D's) as the were only allowed to be sold to verified accredited investors Many CEO's began to sell those to those who were not & those offerings came to an end (damn shame 
) Now, I'll educate a bit more. part of the clearing process aka compliance require a verified paper trail aka banking records providing payment history & by whom payment was made by those shares are under 144 regulations / consulting shares can not provide said payment paper trail as they were issued for consulting services (now those were also the good old days ) & since payment can not be verified consulting shares must be held for 2 years. Again, EXPERIENCE yet feel free to contact any brokerage clearing house that handles clearing of certificates regarding OTC tickers
