No, the S-8 is a formality of the shareholder-approved 3M shares to be used for compensation.

The bigger concern is yesterday’s S-3, which sets up licence to sell $250,000,000 in shares for dilution (or about 46M shares by current SP), for anytime in the next three years.

The last S-3 was filed December 2017 for $100M. They cashed in a big chunk of that on June 8, 2018, which precipitated the fall to the upper 3s in August 2018.
