Shares are shares, and the 80% aren't getting cancelled. They're just locked up right now by the company. They may choose to sell them back out into the float at a later time. Alpha and Brio's note won't convert until well after the share exchange agreement has been fully executed, so they aren't affected by any of this. Those are brand new shares.
