John Moran, President CBQ & has been President of Quantum Technology Group since April 2000. In that capacity he is responsible for day-to-day operations of the business. Prior to this position he was President and CEO of dpi Net Solutions Inc. where he was instrumental in the reduction of company overhead by more that one million dollars while focusing the company on its core IT infrastructure business. From 1992 to early 1999, Mr. Moran was Founder, President and CEO of Bio-Oxidation Services Inc., a high technology medical waste processing start-up that he grew internally and through acquisitions to over $7 million in sales in New York, New Jersey, Pennsylvania, Ohio, West Virginia and Bermuda. In December 1997 he successfully sold Bio-Oxidation to the Harsco Corporation (NYSE: HSC), Camp Hill, Pennsylvania. Prior to Bio-Oxidation, Mr. Moran spent 10 years in a variety of managerial positions with the health care, consumer marketing and international divisions of Johnson and Johnson, New Brunswick, New Jersey. From 1988 to 1991 he was Vice President of Sales and Marketing for Corporate Capital Leasing of West Chester, Pennsylvania. He joined Corporate Capital shortly after its start up and was instrumental in growing the company to $12 million in revenue by focusing marketing strategy on financing emerging environmental solutions. Mr. Moran is the Founder, Chairman and principal stockholder of Service Service Inc., Annapolis, Maryland, an internet/e-commerce development company focused on offshore e-commerce opportunities. Mr. Moran is also the co-founder and principal stockholder of Oxidation Technologies Inc., a high technology environmental service company with offices in Annapolis, Maryland and Hamilton, Bermuda. He has more than 20 years experience in operating rapidly growing, privately held businesses, including integrating acquisitions on ever an increasing scale.

Ray Kostkowski, Executive Vice-President for Mergers and Acquisitions of CBQ, Inc. He was the Chairman and Chief Executive Officer of Quantum Net Technologies since 1997. Mr. Kostkowski led Qnettech in its effort to grow through the acquisition of synergistic IT companies. Mr. Kostkowski has had many years of experience in rapidly growing companies through acquisition. As President and CEO of Lucas Brothers Inc., a contract stationary supplier with over $80 million in annual sales, Mr. Kostkowski was responsible for 12 acquisitions from Pennsylvania to North Carolina, which were consolidated into Lucas Brothers operations via the development of a customized/industry-specific software. Lucas Brothers, and Office Products Network of North America (OPNNA), a national marketing and purchasing business formed by Mr. Kostkowski with an excess of $1.2 billion in annual sales, were sold to Corporate Express in 1994. In 1997, Mr. Kostkowski sold Expert Office Services, Inc., a $30 million office product dealer in the Baltimore/Washington area with a customer base of over 5,000 formed through a series of 7 acquisitions utilizing a stock model, to US Office Products Company. Mr. Kostkowski is also the major stockholder and chief executive officer of Orion Holdings, an international service organization with annualized revenues in excess of $500 million.

Gino Manna, VP and Chief Technology Officer for CBQ & has been Vice President and CTO of the Company since April, 2000. Mr. Manna is a Certified Net Analyst(TM) with more than 18 years of experience in the Information Technology industry. He is responsible for providing the balance between the rapid pace of technology and the high standards of quality and reliability of the Company's solutions. Prior to joining QTG, he was Vice President and CTO of dpi Net Solutions, one of the QTG consolidated companies, which he founded in 1991. As CTO, he was responsible for the forward momentum and technical vision which kept DPI at the leading edge of the IT industry by providing state of the art business solutions. Mr. Manna cultivated relationships with many high profile Baltimore based businesses and government agencies, and built DPI's reputation for providing quality services and superior customer satisfaction. From 1988 to 1990, he was President of OAS Services, a full service IT integration firm.

Ann Sigman, VP of Outsourcing for CBQ & Quantum Net With 20 years of management and information technology experience, she leads the Company's software product and business development. Her knowledge and experience coming from the entrepreneurial environment of one of the founding companies of QTG has provided Ms. Sigman the unique experience of building a successful software consulting business from the ground up. She leads the Company's outsourcing operations as well as manages the internal growth of the Company's software and web development profit centers. Ms. Sigman's experience as a business applications consultant, applying management and financial expertise gained from servicing multi-million dollar companies, has also been instrumental in the Company's consolidation of acquired businesses.

Russell Fisher, VP of Business Development CBQ & Quantum

Mr. Skip Lewis Sr. Vice President of QTG. is an EET and a certified Electronic Engineer with 18 years of management experience in the computer service and maintenance industry . Prior to joining QTG he was President of Pro-Care Computers of Baltimore, a network and computer service company which was acquired by QTG in 1997. Mr. Lewis is responsible for the Company's LAN Installation and Service and Repair Profit Centers.

Lee Ann Zawodniak, Quantum Net CFO directs the finances of QTG towards growth with a careful eye on the profitability of the company. Ms. Zawodniak focuses on acquired company due diligence and continuing profitability once integrated into the Company. She has 8 years in public accounting audit and consulting practice and 4 years in private accounting for a wide variety of businesses, including advertising, banking, distribution, small privately held businesses and business startups.

Eugene Yano - vice president and chief financial officer, bringing extensive financial experience and understanding of working in Chinese markets to CBQ as it continues efforts in that region. Prior to joining CBQ, Yano was with Coopers & Lybrand LLP for a total of 14 years in the Palo Alto, San Jose, San Francisco, New York and Detroit offices. More recently, he was a principal in his own firm. Yano has expertise in the acquisition of venture capital and other financing, as theyll as consulting on numerous mergers, acquisitions and strategic alliances. He has also represented many Chinese firms in the United States and has many years of experience on Chinese financial matters. Yano received his M.B.A. from The University of Michigan. He is a CPA in California and Michigan.

Lei Liu, China Operations Coordinator has received her M.A. in International Relations from the Johns Hopkins School of Advanced International Studies in Washington, D.C., and was an Information Technology reporter and analyst for six years in Beijing, China, for the Xinhua news agency of the People's Republic of China.

Mr. Chang Guomin, has been a director of the company since January 14, 2000. He is currently Chairman of CCSoft Technology Developing Co., Ltd CCSoft provides outsource software development services to many companies in China, including China Telecom and China Unicom. He is also Chairman of KWOK Man Group. KWOK Man Group holds significant real estate investments in China and Austrailia.

Ms. Song Zhi De, ChinaSoft Director

Ms. Xu Ling has been a ChinaSoft director of the Company since January 14, 2000. She graduated in 1983 with Bachelors degree in from Yan Jing Overseas Chinese University. She is currently the general manager of Asia-European Bridge Corporation, Ltd. This firm specializes in international business transactions primarily in the high technology sector. Mrs Xu also provides consulting to foreign businesses who seek to do business in the Chinese market.

Mr. J. Patrick Dowd has been a director of the Company since January 14, 2000. He is Managing Partner of Capital House, L.L.C., and has a 21-year background in corporate and international shipping operations. He is a Notre Dame graduate, and holds an MA from the Fletcher School of Law and Diplomacy, as well as and MBA from the INSEAD School of international business in France. He as also worked in New York in the investment banking operations of Smith Barney and Lehman Brothers. As a Managing Partner of Capital House, Mr. Dowd has been involved in national and international corporate acquisitions, internet-related investments, international joint ventures, infrastructure projects in telecommunications and port development, emerging biotechnology companies, and real estate development. Mr. Dowd, with a long-standing background in the transportation market, took the lead on a private placement for capital that put Midway Airlines back in operation back in 1994. Today Midway, with a new hub in the Raleigh Airport, is well on its way to recovery as a successful U.S. airline.

Stephen L. Geller founded Stephen L. Geller, Inc., a media buying, advertising, and corporate barter company in 1969 and serves as its Chairman. His corporate interests also include SLG Publishers Representatives Inc., and Asset Marketing Services, Inc. He is currently a member of the Board of Directors of 1stinhealth and S.C.I., an Ohio direct mail and marketing company. Mr. Geller has been active in many philanthropic causes, and serves on the Board of Trustees of The Lupus Research Institute, as a member of the Advisory Committee of Aplastic Anemia and MDS International, Inc.

Mr. Dan Groves is a director of the Company and is the Vice President of Finance for First Continental Capital, L.P. He has been associated with this entity since April, 1985. While Mr. Groves oversees the accounting, personnel, purchasing and other operational areas of the business, his primary thrust and integral role to the organization is his financial analysis and computer modeling abilities, which are essential for pricing and structuring financing transactions for clients. Mr. Groves was employed by North Dallas Bank prior to joining First Continental. While at the bank, Mr. Groves was credit department manager for four years and, previous to that, loan workout and foreclosed real estate officer for three years, auditor for two years and comptroller for three years. The bank had two affiliated corporations for which he served as treasurer of one and president of the other. He has also performed independent consulting activities in accounting. Mr. Groves was a director for Compunet Support Systems for five years prior to the corporation being sold in 1997. He is a former member of the North Dallas Chapter of the National Association of Accountants. In 1984, 1985 and 1988 he served as a director and on the board of that organization. He received a BBA from Southern Methodist University with majors in business statistics and marketing.

Mr. Scott Lowden is a director of the Company. He is primarily engaged in the practice of law in Dallas, Texas, with Bennack & Lowden, LLP. Mr. Lowden has practiced law since 1967. He is a member of the bars of Texas, North Carolina, and Massachusetts. He has served as an executive and the head of legal departments for two Fortune 100 companies and was first listed in Who's Who in America in 1982 and in Who's Who in American Law in 1983. His practice concentrates on corporate and international law, mergers and acquisitions, corporate governance, and mediation of legal disputes. Mr. Lowden has published law review articles and articles in The Business Lawyer and The Texas Lawyer on subjects ranging from international trade to the use of mediation to resolve internal and external corporate conflicts. He is a frequent lecturer at universities and bar association events on a variety of corporate and international legal subjects. Mr. Lowden is a member of the Dallas Bar Association, and is a member of this association's Sections of Alternative Dispute Resolution, Business Litigation, Corporate Counsel (Council member), and International Law (Council member). He served as Chairman of the association's Law Day Committee in 1999. Mr. Lowden received his JD from Harvard Law School in 1966; was a Fulbright Fellow, University of Madrid, Spain, 1963; and attended Wesleyan University, Middletown, Connecticut, receiving a degree in 1962.
